1Agreement to Terms

By accessing, registering an account, or utilizing the services of Kayaan Integrated Systems (“KIS”, “Kayaan”, “we”, “us”, or “our”), you (“Client”, “User”, or “you”) agree to be legally bound by these Terms & Conditions and our Service Agreement. If you are entering into this agreement on behalf of a company or legal entity, you represent that you have the authority to bind such entity.

2Scope of Services

KIS operates as an integrated digital growth and automated sales infrastructure provider. Depending on your chosen subscription tier (Starter, Growth Pro, or Scale), KIS provides:

• Verified business prospect discovery, lead intelligence, and market data enrichment.
• Creative asset generation including high-converting video ads, copy, and visual media.
• Automated WhatsApp sales assistant configuration and conversation routing.
• Workflow integration across CRM, payment processors, and client reporting tools.

3Instant Autonomous Deployment Target & Operational SLA

We target an instant, real-time autonomous deployment timeframe (within minutes) for your growth systems once your Brand DNA is calibrated. However, operational parameters are subject to standard verification dependencies:

4Client Intellectual Property Ownership

You retain 100% ownership of your company brand assets, proprietary client data, custom-generated video ads, campaign creatives, and qualified leads generated during your active subscription. KIS claims no proprietary ownership over your business trade secrets or client lists.

5AI Capabilities & Human Verification

KIS deploys state-of-the-art language models and automated agents to assist in sales responses, copywriting, and data enrichment. While trained on your Brand DNA, AI outputs may occasionally require human oversight. Clients maintain ultimate responsibility for final pricing quotes and legal statements made on their behalf.

6Third-Party Platform Reliance

Our workflows interface with third-party service providers including WhatsApp (Meta Platforms), Paystack, Moniepoint, Google Cloud, and OpenAI. KIS cannot guarantee uninterrupted uptime of third-party platforms and is not liable for service disruptions caused by external API policy updates or third-party outages.

7Fees, Subscriptions & Cancellations

The ₦75,000 Starter Package is an introductory, one-time 30-day pilot test drive designed to deliver your first 3 high-conversion video ads and verified customer leads. It does not recur automatically and cannot be renewed at the introductory test-drive rate. Subsequent continuous delivery is provided through monthly growth retainers (Growth Pro ₦150,000/mo or Scale ₦350,000/mo), which are billed in advance on a monthly recurring cycle. You may pause or cancel your monthly retainer at any time prior to the next billing cycle through your dashboard or by written notice to our team.

8Governing Law & Jurisdiction

These Terms and any contractual disputes arising out of them shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Parties agree to attempt amicable resolution prior to initiating any formal legal or arbitration proceedings.
